Terms and Conditions

1. Acceptance of Terms

By accessing or using PathPilot’s services (the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use the Services.

2. Description of Services

PathPilot provides an AI platform for financial institutions to build, customize, and deploy AI agents. Services may include:

  • AI customer support agents

  • AI onboarding/KYC agents

  • AI collections agents

  • AI QA & compliance monitoring agents

  • Regulatory oversight tools

  • A no-code/low-code agent builder

  • APIs, SDKs, and platform integrations

  • Cloud, private cloud, and on-premise deployment options

PathPilot may enhance or modify the Services at any time.

3. User Accounts

You are responsible for securing your credentials and for all activity occurring under your account. You must notify PathPilot of any unauthorized access.

4. Customer Data & Ownership

  • You retain full ownership of all data you provide or process through the Services (“Customer Data”).

  • PathPilot does not use Customer Data to train models, unless explicitly agreed in writing.

  • Customer Data processed in private cloud or on-prem deployments remains fully under the customer’s control.

  • You represent that you have the rights necessary to supply Customer Data.

5. Metadata Collection

To improve system performance, reliability, and debugging, PathPilot collects operational metadata about AI agent execution, including but not limited to:

  • Timestamps, latency, and execution metrics

  • Tool usage, model behavior, and system events

  • Error logs and debugging information

  • High-level analytics needed for performance tracking and instrumentation

Metadata does not include Customer Data and is used solely for:
performance monitoring, troubleshooting, analytics, security, and product improvement.

6. Agent Logic & Intellectual Property

PathPilot retains full ownership of:

  • All AI agent architectures

  • Code, templates, workflows, and logic

  • System prompts, tools, and orchestration

  • Any modifications, enhancements, or derivatives created using the PathPilot platform

  • All metadata generated by the system

Customers own:

  • Their Customer Data

  • Business rules or instructions they manually configure

  • Any external datasets they provide

Any agent modifications, tuning, or enhancements performed by PathPilot or automatically generated as part of the platform remain exclusive property of PathPilot.

7. Data Privacy

PathPilot processes information in accordance with its Privacy Policy. Use of the Services constitutes consent to such processing.

8. Security

PathPilot implements industry-standard security controls, including encryption, access management, monitoring, and logging.
For customer-managed environments (private cloud/on-prem), infrastructure security is the customer’s responsibility.

9. AI Output Disclaimer

You acknowledge that:

  • AI-generated responses may be inaccurate, incomplete, or require human review

  • You remain responsible for verifying AI output

  • PathPilot is not responsible for financial, operational, or compliance decisions made based on AI output

10. Acceptable Use Policy

You agree not to use the Services to:

  • Engage in illegal or fraudulent activities

  • Violate financial regulations, KYC/AML laws, or consumer protection rules

  • Attempt to reverse-engineer PathPilot’s models, logic, or platform

  • Build or train competing AI services using PathPilot IP

  • Disrupt, overload, or compromise system integrity

Violations may result in suspension or termination.

11. Deployment Options

PathPilot supports:

  1. PathPilot Cloud – managed by PathPilot

  2. Customer Private Cloud (VPC) – infrastructure managed by customer

  3. On-Premise – fully customer-managed infrastructure

Responsibilities differ by deployment and may be governed by separate agreements.

12. Third-Party Services

PathPilot may integrate with third-party infrastructure, APIs, or LLM providers. PathPilot is not liable for outages or failures caused by such third parties.

13. Payment and Fees

You agree to pay all subscription or usage-based fees according to your order form or subscription agreement. Fees are non-refundable unless required by law.

14. Limitation of Liability

To the fullest extent permitted by law:

  • PathPilot is not liable for indirect, incidental, consequential, special, or punitive damages.

  • PathPilot’s total liability is limited to the fees paid by you in the preceding 12 months.

15. Indemnification

You agree to indemnify PathPilot for losses arising from:

  • Misuse of the Services

  • Violations of laws or regulations

  • Failure to properly supervise or validate AI outputs

  • Breach of these Terms

16. Termination

PathPilot may suspend or terminate access due to breach, security issues, or non-payment. You may stop using the Services at any time.

17. Changes to Terms

PathPilot may update these Terms. Material updates will be communicated via email or in-product notification. Continued use constitutes acceptance.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved through binding arbitration in Delaware unless otherwise required by law.
