Terms and Conditions

1. Acceptance of Terms

By accessing or using PathPilot services (the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Services.

2. Description of Services

PathPilot provides an AI platform for financial institutions to build, customize, and deploy AI agents, including support, onboarding/KYC, collections, QA/compliance monitoring, regulatory oversight tools, and platform APIs/integrations.

PathPilot may enhance or modify the Services at any time.

3. User Accounts

You are responsible for securing your credentials and for all activity under your account. You must notify PathPilot of unauthorized access.

4. Customer Data and Ownership

5. Metadata Collection

PathPilot collects operational metadata about execution and performance, including timestamps, latency, tool usage, system events, and error logs.

Metadata does not include Customer Data and is used for monitoring, troubleshooting, security, analytics, and product improvement.

6. Agent Logic and Intellectual Property

PathPilot retains ownership of AI agent architecture, platform logic, prompts, workflows, and derivatives created through the platform.

Customers own Customer Data, manually configured business rules, and external datasets they provide.

7. Data Privacy

PathPilot processes information in accordance with its Privacy Policy. Use of the Services constitutes consent to such processing.

8. Security

PathPilot implements industry-standard security controls. For customer-managed infrastructure, environment security is the customer’s responsibility.

10. Acceptable Use Policy

You agree not to use the Services to engage in illegal/fraudulent activity, violate regulations, reverse-engineer platform logic, build competing AI from PathPilot IP, or compromise system integrity.

Violations may result in suspension or termination.

11. Deployment Options

Responsibilities differ by deployment and may be governed by separate agreements.

12. Third-Party Services

PathPilot may integrate with third-party infrastructure, APIs, or LLM providers and is not liable for outages caused by those third parties.

13. Payment and Fees

You agree to pay subscription or usage-based fees under your order form or subscription terms. Fees are non-refundable unless required by law.

15. Indemnification

You agree to indemnify PathPilot for losses arising from misuse of Services, legal/regulatory violations, failure to validate outputs, or breach of these Terms.

16. Termination

PathPilot may suspend or terminate access for breach, security issues, or non-payment. You may stop using the Services at any time.

17. Changes to Terms

PathPilot may update these Terms. Material updates may be communicated by email or in-product notice. Continued use constitutes acceptance.

18. Governing Law and Dispute Resolution

These Terms are governed by Delaware law. Disputes are resolved through binding arbitration in Delaware unless otherwise required by law.
